Terms of Service

1. Acceptance of Terms

By accessing and using the OneMed CRM platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User") and OneMed Solutions ("Company", "we", "our", or "us").

2. Service Description

OneMed CRM is a healthcare customer relationship management platform designed to assist authorized healthcare professionals and staff in managing patient relationships, prescriptions, and related healthcare operations.

The Service is intended for use by authorized personnel of OneMed Solutions and its affiliated healthcare practices only.

3. User Obligations

As a user of the Service, you agree to:

  • Maintain the confidentiality of your login credentials and not share them with any other person
  • Comply with all applicable federal, state, and local laws, including but not limited to HIPAA regulations
  • Access only the data and features authorized for your role
  • Report any suspected security incidents or unauthorized access immediately
  • Use the Service only for its intended healthcare business purposes
  • Complete all required security training, including HIPAA training
  • Enable and maintain Multi-Factor Authentication (MFA) on your account

4. Protected Health Information (PHI)

The Service processes Protected Health Information (PHI) as defined under HIPAA. You acknowledge and agree that:

  • All PHI must be handled in accordance with HIPAA Privacy and Security Rules
  • PHI may only be accessed on a minimum necessary basis
  • You will not export, download, or transmit PHI except through authorized Service functions
  • Any unauthorized disclosure of PHI must be reported immediately to the Privacy Officer

5. Prohibited Uses

You may not use the Service to:

  • Access or attempt to access another user's account or data
  • Circumvent or disable any security features, including MFA
  • Transmit viruses, malware, or any harmful code
  • Scrape, data mine, or extract data in bulk from the Service
  • Use the Service for any purpose other than authorized healthcare operations
  • Share screenshots, exports, or data from the Service on social media or public platforms

6. Intellectual Property

The Service, including all software, designs, documentation, and related materials, is the intellectual property of OneMed Solutions. Users do not acquire any ownership rights by using the Service.

Patient data entered into the Service remains the property of the applicable healthcare practice and is subject to HIPAA requirements.

7. Service Availability

We strive to maintain the Service available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for any disruption caused by:

  • Scheduled or emergency maintenance
  • Third-party service outages (cloud infrastructure, payment processors)
  • Force majeure events
  • Internet connectivity issues on the user's end

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEMED SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from the use of the Service shall not exceed the amount paid by the applicable practice for the Service during the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to:

  • Violation of these Terms
  • Suspected unauthorized access or security breach
  • Termination of your employment or relationship with the healthcare practice
  • Non-payment of Service fees by the applicable practice

Upon termination, your access to the Service will be immediately revoked and all session data will be destroyed.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
